1. Agreement to Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and RankOne Marketing, Inc. (“RankOne Creative,” “Company,” “we,” “us,” or “our”), a limited liability company organized under the laws of Wisconsin, concerning your access to and use of the https://www.rankonecreative.com website and any services provided by RankOne Creative (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access our Services.

2. Eligibility

2.1 Age Requirements

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

2.2 Business Authority

If you are using our Services on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Services Description

3.1 Video Funnel System™

  • Video production and editing
  • Landing page design and development
  • Conversion funnel implementation
  • Marketing automation setup
  • Performance tracking and optimization
  • Strategic consulting

3.2 Website Development Services

  • Custom website design and build using WordPress or other platforms
  • Responsive design for desktop, tablet, and mobile devices
  • Content migration and integration
  • E-commerce functionality
  • Website maintenance and hosting
  • Custom content creation

3.3 Service Limitations

  • Modify, suspend, or discontinue any Service at any time
  • Refuse service to anyone for any lawful reason
  • Set limits on service availability or usage

4. Client Qualifications

4.1 Acceptance Criteria

We maintain strict quality standards and only accept three (3) new clients per month. Acceptance is at our sole discretion based on:

  • Business compatibility
  • Project scope alignment
  • Resource availability
  • Strategic fit

4.2 Right to Refuse

We reserve the right to decline any project that:

  • Conflicts with our values or ethical standards
  • Involves illegal, deceptive, or harmful products/services
  • Presents unrealistic expectations or timelines
  • Fails to meet our minimum engagement requirements

5. Pricing and Payment Terms

5.1 Service Fees

All prices are in U.S. dollars and subject to change with 30 days’ notice. Current pricing is available on our website or by request.

5.2 Payment Schedule

For Video Funnel Services: Payment due upon contract signing.

For Website Development Services:

  • Deposit: 80% due upon contract signing
  • Balance: 20% due on completion day with client sign-off
  • Additional Work: Billed at $100/hour for work outside original scope

5.3 Payment Methods

  • ACH bank transfers
  • Wire transfers
  • Credit cards (subject to processing fees)
  • Approved payment plans

5.4 Late Payments

Late payments incur a 3% monthly interest charge or the maximum allowed by law, whichever is less. Services may be suspended for accounts more than 30 days past due. Returned payments are subject to penalty fees.

6. Performance Guarantee

6.1 5x Conversion Guarantee

For qualifying clients who purchase our complete Video Funnel System™ package:

  • We guarantee a 5x improvement in conversion rates within 90 days
  • If we fail to achieve this target, we will continue working at no additional charge for up to an additional 90 days

6.2 Guarantee Conditions

  • Full implementation of our recommended strategy
  • Adequate traffic volume (minimum 1,000 visitors/month)
  • Execution of recommended ad spend
  • Client cooperation and timely feedback
  • No major changes to product/service offerings
  • Accurate baseline metrics provided

6.3 Guarantee Exclusions

  • Partial service packages
  • Website-only development
  • Deviation from agreed strategies
  • Force majeure events
  • Market changes beyond control

7. Development Process

7.1 Workflow

  1. Mockup Creation
  2. Client Sign-Off
  3. Development (4–6 months typical)
  4. Revisions (up to 3 rounds)
  5. Testing & Debugging
  6. Final Sign-Off

7.3 Content Requirements

  • Client must provide all content
  • Stock or custom media billed extra
  • Custom creation billed at $100/hour

8. Intellectual Property Rights

Clients retain rights to their provided content. Custom content becomes client property upon full payment, while proprietary systems remain RankOne Creative’s property.

9. Confidentiality

Both parties must maintain confidentiality of proprietary and strategic information for five (5) years after termination.

10. Client Responsibilities

  • Provide accurate information and timely responses
  • Grant access and approvals
  • Comply with laws
  • Pay invoices on time

11. Hosting & Maintenance

Optional hosting at $250/month, including backups, monitoring, and up to 10 domain emails. 12-month renewable contracts, 30-day cancellation notice required.

12. Prohibited Uses

  • Illegal or deceptive activity
  • Reselling services
  • Reverse engineering
  • Harassment or IP violations

13. Disclaimers

All services are provided “as is” without warranties. We are not liable for third-party services or results beyond stated guarantees.

14. Limitation of Liability

Our liability is limited to the amount paid for the specific service. We are not responsible for indirect, special, or consequential damages.

15. Indemnification

You agree to indemnify and hold harmless RankOne Creative from claims or damages arising from your use of our Services.

16. Termination

Either party may terminate with 30 days’ written notice or immediately for breach. Upon termination, all payments due immediately, and confidential info must be returned.

17. Dispute Resolution

  • Governing Law: Wisconsin
  • Jurisdiction: Wisconsin Dells
  • Arbitration: Binding arbitration under AAA rules

18. General Provisions

  • Entire agreement between parties
  • Amendments require notice
  • Unenforceable provisions do not affect the rest
  • Force majeure protection

19. Special Provisions for Video Content

  • Talent & location releases handled by RankOne Creative
  • Music properly licensed
  • Compliance with FTC and advertising laws
